[Asterisk-Users] Is it necessary that i need to have TDM01B for PC-to-PC intercom calls?

[infra struct]

I am first implementing PC-to-PC calls (office intercom like) within lan, so now itself this FXO card needed?
 
and is there any softphones for Win Xp,2000 prof, 98 work idependently for the same purpose i mentioned above, without using Asterisk?
 
suggestions please.
