I lied.  It was actually because I was using both ports on the DG102s to
test this.  Seems like a bug in the DG102s.  So this is for those out
there that have one.  

I called from a SIP client, to the MGCP extension, then transfered it to
a Zaptel channel.  Works great.

Calling from one MGCP extension to another on the same DG102s, screws
the thing up and it requires a cold restart.

Fixed it..  You were helpful too.  I tried using 'mgcp debug' and it
turns out my Dlink DG102s was rejecting the call on the subchannel with
a 403 response which is some type of coding error.  So I put
'disallow=all' and 'allow=ulaw' in my mgcp.conf file and voila.

Don't know why it was giving the 403 response.  Too tired to care.  It's
2:20am, it works and i'm goin to bed.

First you need to tell us what hardware you're using.
Second, have you tried the transfer with mgcp debug turned on?
