well here is what i did to solve it but i still don't know why i had to or why my current config works.
i edited /etc/rc.local
old
touch /var/lock/subsys/local
/usr/local/sbin/amportal start
new
touch /var/lock/subsys/local
/usr/sbin/amportal start
keep in mind that my server that i have been using or months now has this
touch /var/lock/subsys/local
/usr/local/sbin/amportal start
can anyone explain this?

i wasn't trying to ignore your help. i just figured i would go back a version because it only takes a few minutes to install it and i know it works with my directions. this is a different file then the issue i was have in the post when i used 1.6.2.
I just found that in /etc/rc.local in my working box i have this.
touch /var/lock/subsys/local
/usr/local/sbin/amportal start
in the server that is not working i have the same text.
on the server that is not working /usr/local/sbin/ is empty
on the working server is working has amportal and fpbx
not sure why the files are not in there.
looks like amportal script should start asterisk for me.
