I make ---[H323]-----> asterisk --[SIP]----> sip client but is not working
proprely  I have One-way audio (one-way perfect and one-way distorted)

The "distorted audio" is probably a result of CNG (comfort noise
generation), as evidenced by this warning message:

[Aug 9 00:22:40] NOTICE[14802]: rtp.c:783 process_rfc3389: Comfort noise
support incomplete in Asterisk (RFC 3389). Please turn off on client if
possible. Client IP: 200.12.235.169

Turn it off in your client, then try again.
