I run into this type of  stuff all the time.  Its not a cut and dry 
answer.  Depends on which state you are registering in. What type of 
company (Inc., LLC. LLP, etc.). Certain states have favorable tax 
structure for foreign (non-intrastate) business incorporation.  So 
states are business hostile.  I highly recommend getting a Lawyer and 
Accountant.  Good decisions made now can save a fortune later.
